1. Acceptance of Terms & Eligibility

By visiting our website, registering on our waitlist, downloading pre-release builds, or utilizing the Vault Vole application on an Android device, you confirm that you are at least 13 years of age (or the minimum legal age required in your jurisdiction to enter into a binding contract) and possess the legal authority to accept these Terms.

If you are accepting these Terms on behalf of an entity, organization, or employer, you represent and warrant that you have full authorization to bind said entity to these Terms. If you do not agree to these Terms in their entirety, you must not use the website or install the application.

2. Service Description & Second Brain Functionality

Vault Vole is an AI-native productivity application designed for Android devices that enables users to curate, transcribe, extract, and convert short-form public video links (such as Instagram Reels, YouTube Shorts, and TikTok videos) into structured, searchable digital blueprints ("Second Brain").

The Service includes automated speech-to-text transcription, step-by-step extraction for recipes, workouts, code, and guides, optical character recognition (OCR), semantic search, and conversational querying over your saved blueprint database.

3. Pre-Registration & Closed Beta Participation

You acknowledge that Vault Vole is presently undergoing pre-launch Closed Beta testing on Android. As a beta participant:

• You agree to receive service emails regarding Google Play Closed Beta access links, release updates, and testing instructions.
• You acknowledge that pre-release software may contain bugs, defects, or performance irregularities.
• Any feedback, crash logs, or feature ideas you voluntarily provide to Vault Vole shall become our sole property and may be implemented without royalty or compensation to you.

5. User Accounts & Security

To access the App on Android, you may be required to sign in using your Google Play account or verified email address. You are solely responsible for maintaining the confidentiality of your device and credentials, and for all activities that occur under your account. You agree to notify us immediately at support@vaultvole.com if you suspect any unauthorized access to your account.

6. Acceptable Use Policy & User Conduct

You agree to use Vault Vole exclusively for lawful, personal productivity purposes. You expressly agree that you will NOT:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying neural extraction models of the Vault Vole application.
• Deploy automated scripts, bots, spiders, or scrapers to overwhelm, exploit, or bypass API rate limits on our backend servers.
• Use the Service to extract, store, or process content that is unlawful, defamatory, obscene, harassing, hateful, or promotes violence or child exploitation.
• Circumvent, disable, or tamper with any digital rights management (DRM), licensing checks, or security features of Google Play.
• Re-sell, rent, lease, sublicense, or distribute access to Vault Vole or your Founder Pass to third parties for commercial gain.

7. Public Video URLs & Intellectual Property of Third Parties

Vault Vole is designed as a personal knowledge extraction and note-taking utility. You are solely responsible for the URLs you submit to the Service:

• Public Content Only: You represent that any video link you share with Vault Vole is publicly accessible on the respective host platform.
• Respect for Creators: Vault Vole extracts summaries, transcripts, and blueprints for your private study, research, and personal organization under fair use principles. You agree not to distribute or republish copyrighted third-party media in violation of applicable copyright laws.
• DMCA & Copyright Inquiries: If you are a copyright owner and believe any content processed through Vault Vole infringes your rights, please submit a notice to legal@vaultvole.com.

8. Vault Vole Proprietary Rights

The Vault Vole website, Android application, visual interface, wordmark, logo, graphics, design system, source code, neural pipeline algorithms, and documentation are the exclusive intellectual property of Vault Vole and are protected by international copyright, trademark, and trade secret laws. No license or rights are granted to you except as expressly set forth in these Terms.

9. User Content Ownership & License Grant

You retain 100% ownership of the custom notes, tags, folder structures, and blueprint annotations you generate inside Vault Vole. We claim no ownership over your curated library.

By using the Service, you grant Vault Vole a limited, non-exclusive, worldwide, royalty-free license solely to process, transcribe, store, and display your saved blueprints strictly to the extent necessary to deliver the Service to you on your devices. We do not use your private content to train public foundation models or share it with third parties.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SERVICE, WEBSITE, APPLICATION, AND ALL ASSOCIATED MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

VAULT VOLE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED TRANSCRIPTIONS OR BLUEPRINTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VAULT VOLE, ITS FOUNDERS, DIRECTORS, AFFILIATES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO VAULT VOLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY U.S. DOLLARS ($50.00 USD), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Vault Vole, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable legal expenses arising out of or in any way connected with: (a) your access to or misuse of the Service; (b) any violation by you of these Terms; or (c) your infringement of any third-party intellectual property or privacy right through submitted content.

14. Modifications, Suspension & Termination

We reserve the right to modify, suspend, or terminate the Service or your access to the App at any time, with or without notice, in the event of any material violation of these Terms, abusive conduct, or compliance with legal mandates. We may also update these Terms periodically; continued use of Vault Vole following published revisions constitutes acceptance of the updated terms.

15. Governing Law & Dispute Resolution

These Terms and any dispute arising from or related to the Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Prior to initiating formal legal proceedings, you and Vault Vole agree to attempt to resolve any dispute, controversy, or claim amicably through good-faith informal negotiations by contacting legal@vaultvole.com. If the dispute is not resolved within forty-five (45) days, it shall be resolved by binding arbitration in accordance with applicable arbitration rules or in the competent courts having jurisdiction.

16. Miscellaneous & Contact Information

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be severable and shall not affect the validity and enforceability of the remaining provisions. These Terms, together with our Privacy Policy, constitute the complete agreement between you and Vault Vole regarding the Service.
